These Terms & Conditions constitute a binding agreement between you and E1. By creating an account, accessing, or using the Services (platform, mobile applications, APIs, and related services), you consent to these Terms and the Privacy Policy.

By creating an account, accessing, or using the Services (platform, mobile applications, APIs, and related services), you consent to these Terms and the Privacy Policy. Non-acceptance requires abstention from using the Services.
2. Eligibility
- Minimum age requirement: 16 years old.
- Users aged 16–17 require verified parental consent documentation.
- You must possess legal capacity to enter binding contracts in your jurisdiction.
- Corporate / agency representatives must have authority to bind their entity.
- Creators must satisfy minimum follower and reach thresholds set by connected social platforms.
3. Accounts & Security
Your responsibilities include:
- Providing truthful, current, and complete account information.
- Protecting credential confidentiality.
- Assuming liability for all account activity.
- Immediately reporting unauthorized access.
Two-factor authentication is strongly recommended. E1 reserves discretion to refuse service, close accounts, or remove content for Terms violations.
4. The Services
E1 provides:
- AI-powered creator discovery and campaign matching.
- Smart campaign builders with digital contract capabilities.
- Location-verified post validation and compliance checking.
- Automated payment distribution, analytics, and reporting.
- In-app messaging infrastructure.
E1 functions as a facilitation platform rather than a contracting party between brands and creators, though it maintains the underlying infrastructure.
5. Smart Contracts
Campaign acceptance triggers digital contract generation incorporating brand specifications: deliverables, location parameters, content guidelines, timelines, and compensation terms. Both parties execute digital signatures before activation.
E-signatures comply with applicable electronic signature legislation (ESIGN Act, eIDAS). Contract copies remain accessible via dashboard download and user records.
6. Post-Proof & Compliance
Automated post validation against contract specifications may encompass:
- Real-time geolocation verification through device check-in.
- Platform, hashtag, and username requirements.
- Content specifications regarding format, duration, and disclosure mandates (#ad, #sponsored).
- Mandatory post retention periods.
Failed validation triggers creator notification with correction opportunity within contract-specified windows. Repeated non-compliance may result in payout forfeiture and account penalties.
7. Payments & Payouts
Brands: Pre-campaign funding or billing per selected plan. USD processing standard unless otherwise negotiated.
Creators: Instantaneous payouts following post validation and campaign completion. Distributions proceed to registered payment methods (bank transfer, supported wallets, regional alternatives). Processing duration varies by destination.
Refunds: Escrow amounts for un-accepted campaigns are refundable. Completed and validated campaigns are non-refundable except legally mandated or fraud-established scenarios.
8. Fees & Taxes
E1 may impose platform fees, transaction fees, or subscription charges per pricing disclosure. Fees exclude applicable taxes (VAT, GST, sales tax, withholding tax). Income and purchase taxation liability rests with users.
Creators in applicable jurisdictions must furnish valid tax identification for reporting purposes.
9. User Content
Creators retain ownership of submitted or created content. Platform usage grants E1 a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit User Content for operational, promotional, and service-improvement purposes (validation, consented case studies, fraud mitigation).
Brands receive usage rights consistent with negotiated contract terms (paid media, organic promotion, whitelisting). Unspecified rights remain with creators.
10. Prohibited Conduct
Prohibited activities include:
- Bot deployment, fake account creation, or artificial follower inflation.
- Location spoofing or GPS device manipulation.
- Third-party content submission.
- Platform reverse engineering, data scraping, or infrastructure interference.
- Malicious file uploads or security compromise attempts.
- Illegal, harassing, or discriminatory platform utilization.
- Third-party intellectual property or privacy infringement.
- Connected social platform Terms violation.
11. Anti-Circumvention
Creators cannot bypass the platform for direct brand collaboration previously discussed on E1. Similarly, brands cannot contract directly with platform-discovered creators. Violations trigger immediate suspension and damage recovery.
Independent arrangements with parties outside E1 remain unaffected.
12. Intellectual Property
E1's platform infrastructure, code, design, logos, trademarks, and AI models constitute E1 or licensor property under intellectual property protections. These Terms grant no trademark or branding rights beyond necessary Service reference.
13. Campaign Disputes
Post validation, payout, or performance disputes proceed through the in-app dispute center. E1 evaluates submitted evidence, automated compliance documentation, and communications before resolution issuance. Platform determinations are binding for internal fund release without restricting external legal remedies.
14. Suspension & Termination
Account suspension or termination may occur for:
- Material Terms violations.
- Detected fraud, artificial engagement, or persistent compliance failures.
- Legal or governmental mandates.
- Extended inactivity (with advance notice).
Users may initiate voluntary account closure through settings. Validated outstanding payouts continue processing post-termination; active contract obligations persist.
15. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Campaign outcomes, engagement metrics, and ROI remain unguaranteed.
16. Limitation of Liability
E1 AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. Aggregate platform liability caps at the greater value: (A) amounts paid during the preceding 12 months, or (B) USD $100.
17. Indemnification
You indemnify and defend E1, officers, employees, and affiliates against claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: service usage, User Content, Terms violations, applicable law violations, or third-party rights infringement.
18. Governing Law & Dispute Resolution
Governing jurisdiction matches E1's incorporation location without conflict-of-laws application. Unresolved disputes proceed through binding arbitration or competent jurisdictional courts. Class action participation rights are waived where legally permissible.
19. Changes to These Terms
Material modifications receive 14-day advance notice via email or in-app notification. Continued Service usage after the effective date constitutes Terms acceptance.
